Legal and Compliance Department







The mission of the Legal and Compliance Department is to provide Catalent, Inc., a publicly-traded company on the NYSE (ticker: CTLT), and its worldwide subsidiaries, which operate under the “Catalent Pharma Solutions” name, with world-class legal and compliance services that help the company grow and achieve its business goals and remain compliant with a variety of regulatory regimes. It does so by ensuring that the advice given, and services provided are strategic, timely, proactive, practical, and cost-effective and meet the highest legal, ethical, and professional standards. Currently, the Legal and Compliance Department includes 25 lawyers and 13 paralegals and other para-professionals. The Department is headquartered in Somerset, New Jersey, but also includes personnel resident in Europe and South America. Areas of expertise within the Legal and Compliance Department include general commercial law (including customer and vendor contracting); corporate, securities, and mergers & acquisitions; intellectual property; international; labor, employment, and benefits; litigation; legal and trade compliance; and regulatory.







Position Summary



The Senior Counsel will be a key member of the Legal Department, reporting and providing direct support to one of the Department’s Associate General Counsels, as well as providing support as needed to other attorneys on a wide variety of matters for each of the Company’s business units’ needs, including commercial contracts, dispute resolution, acquisitions, and real estate. The Senior Counsel will liaise as needed with other support and business functions to resolve issues. The Senior Counsel’s primary business location will be in the corporate headquarters in Somerset.







The Senior Counsel will report to the Associate General Counsel.







In concert with Catalent’s Patient First philosophy, this position is key in our efforts toward continuous improvement of our processes & information which will allow quality drug products to reach patients safely and efficiently.







The Role (daily responsibilities)





+ Draft, review, analyze, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements



+ Advise business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, and regulatory issues



+ Assist in merger and acquisition activity



+ Assist in corporate governance activity



+ Provide general advice to management on a day-to-day basis



+ Provide advice and guidance for the accomplishment of the overall business objectives of the Company in compliance with applicable laws and regulations and avoidance of unacceptable risks



+ Provide informed cost benefit analysis when identifying risks



+ Develop a thorough understanding of and familiarity with the Company’s business, its people, products, technology, markets, facilities, customers and competitors in order to identify trends and formulate structures and strategies accordingly



+ Ensure that all Company activities are conducted in compliance with internal policies and procedures



+ Make presentations to and train Company personnel on legal issues as needed



+ Supervise paralegals on certain tasks.









The Candidate (requirements)





+ Admitted to practice in New Jersey (NJ in-house admission is acceptable)



+ Minimum of 3 years of transactional/commercial law experience with a large law firm or in-house pharmaceutical experience



+ A business person’s lawyer with excellent judgment, particularly in determining the significance of legal matters and effectively measuring and minimizing risks



+ Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs



+ Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities



+ Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company



+ Ability to assume complex projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion



+ Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization



+ Ability to delegate and supervise, where appropriate; ability and comfort with decision-making responsibilities



+ Computer proficient; Attention to detail



+ Must demonstrate maturity and initiative



+ Team-oriented and hands-on work orientation



+ Willingness to travel and to spend time at various Company locations to understand potential opportunities and provide guidance and training



+ Enthusiasm and “self-starter” qualities enabling the lawyer to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment
